These terms are a plain-language agreement between [Legal Entity] ("Reguler", "we", "us") and the business that signs up ("you"). By creating an account you agree to them. The short version: your data stays yours, and we only use it to run the service for you.
Reguler is a customer-marketing tool for hospitality businesses: it syncs your customers from Square, lets you segment them, and sends SMS you initiate (welcome, birthday, win-back, feedback and campaigns). We grant you a non-exclusive, non-transferable right to use it for your business during your subscription.
You must give accurate details and keep your password secure. You're responsible for activity under your account. You must be authorised to act for the business you register.
Subscription fees are billed monthly through Stripe. SMS credits are prepaid; a credit is consumed when a message is sent and is non-refundable once used. You can cancel any time — access continues until the end of your paid period. We may change pricing with notice.
As between you and us, you own all of your data, including your customer records ("Customer Data"). We acquire no ownership of it. You grant us only a limited, non-exclusive licence to store, process and transmit your Customer Data solely to provide, maintain and support the service to you — and for no other purpose.
We will not sell, rent, share or disclose your Customer Data, and will not use it for our own advertising, marketing, product development, or to train machine-learning models. We access it only (a) to operate and support the service, (b) when you instruct us, or (c) where the law requires. See our Privacy Policy for detail.
You are responsible for the messages you send. Before messaging a customer you must have their consent and comply with the Spam Act 2003 (Cth) and Privacy Act 1988 (Cth). Every message includes an opt-out ("Reply STOP"), but obtaining and honouring consent is your obligation. You must not use the service for unlawful, misleading or harmful content.
Each party will keep the other's non-public information confidential and use it only as needed under these terms.
The service relies on Square (POS sync), Stripe (billing) and Cellcast (SMS delivery). Their availability and acts are outside our control, and we're not liable for them.
We work hard to keep the service running but provide it on an "as is" and "as available" basis, without warranty that it will be uninterrupted or error-free.
To the extent permitted by law, our total liability arising from the service is capped at the fees you paid to us in the 12 months before the claim, and we are not liable for indirect or consequential loss (including lost profits or revenue). Nothing in these terms excludes rights under the Australian Consumer Law that cannot be excluded.
You will indemnify us against claims arising from your Customer Data or from messages you send without proper consent.
Either party may terminate at any time. On termination you may export your data; we will delete your data within 30 days, except where we are legally required to retain it.
We may update these terms; we'll notify you of material changes, and continued use after that means you accept the updated terms.
These terms are governed by the laws of [State], Australia, and you submit to the jurisdiction of its courts.
